Standing Non-Disclosure Agreement

Mutual Non-Disclosure Agreement
1 · Confidential Information means all non-public information a client submits: recipes, formulations, ingredient lists and ratios, supplier identities, spec sheets, processes, product plans, and business information.
2 · Obligations. NutriLabels uses Confidential Information solely to perform the requested services, does not disclose it to third parties without written consent, protects it with reasonable care, and limits access to personnel who need it.
3 · Exclusions. Information that is publicly available, lawfully known before disclosure, independently developed, or legally required to be disclosed (with prompt notice where permitted).
4 · Ownership & return. All Confidential Information remains the client’s property and will be deleted or returned on request.
5 · Term. Obligations survive five years from disclosure, and indefinitely for trade secrets.
6 · No license. Nothing grants NutriLabels rights to client recipes, trademarks, or IP beyond the limited use above.
